Dow Chemical Gets OK to Dump Morton Salt

The Morton deal, cleared by the Federal Trade Commission Monday, will likely close within the next few days, Dow said in a press release. Approval was conditioned on K+S pruning Morton plants in Connecticut and Maine that make de-icing salts.

The companies first announced the Morton deal on green turquoise necklace April 1, the same day the Rohm & Haas combination closed. Dow said it will use the $1.68 billion in proceeds from the salt sale to pay back a short-term loan that it used to help pay for Rohm & Haas.

Dow has made a series of aggressive moves, from asset sales to thousands of layoffs, in order to swallow Rohm & Haas. The company already sold its interest in a Malaysian chemical joint venture for $660 million, for instance, and has grouped some of its latex, rubber and plastics businesses into one green turquoise earrings division in preparation for its sale, which could bring in as much as $2 billion, according to Dow's CEO.

Dow had wanted to scuttle the Rohm agreement, struck before the financial crisis bloomed last fall, but eventually gave in after a legal battle. There were other problems as well. Dow had hoped to use some $9 billion proceeds from a joint venture with a Kuwaiti company, but negotiations fell green turquoise bracelet apart last December.

J.C. Penney Sales: Good News, Bad News

The department store announced on Monday that same-store sales for the month will be in the range of down 3% to 6%. That compares with inflatable castles a 12.4% decline in September 2008.

But while things appear to be getting better, are they really? Up against significantly easier comparisons, the bar has become much easier for retailers to pass. However, according to analyst Dana Telsey, of inflatable slides the firm bearing her name, demand is still weak.

In August, J.C. Penney's same-store sales were off 7.9%, worse than the 6.7% decline analysts expected.

Shares of J.C. Penney were up 1% to $32.63 in inflatable tent afternoon trading, as were other department store rivals. Macy's(M Quote) jumped 1% to $17.95, Saks(SKS Quote) soared 5% to $7.04, Kohl's(KSS Quote) grew 1% to $55, Sears(SHLD Quote) inclined 2% to $66.26, and Dillard's(DDS Quote) shot up 3.5% to $14.65.

Luna Innovations: Pump Up the Volume

The Roanoke Times last week reported that Luna Innovations and Hansen Medical (HNSN Quote) "have developed a framework for settlement" that would reduce a $36.3 million jury verdict against Luna to a more manageable sum, according to a letter written to bankruptcy court Judge William Stone by akoya pearl beads attorneys on both sides of the case.

In 2006, Luna was set to apply its nanotechnology instruments to assist Hansen in developing catheters used for heart surgery, but the deal fell apart after Hansen accused Luna of sharing trade secrets with another company. A jury eventually ruled against Luna, and the company filed for black akoya pearl Chapter 11 bankruptcy protection in July.

News of a possible settlement had Luna shares rallying sharply higher on big volume. Luna was lately rising 39 cents, or 17.9%, to $2.57. Earlier, the stock touched an intraday high of $3.25.

On Friday, Luna shares jumped 94.6% on volume greater than 11.3 million. More than 6.3 million changed hands Monday, compared to the stock's three-month average daily volume of cultured akoya pearl 261,000, according to Yahoo! Finance. Luna has a 7.7 million-share float.
